Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MatchPadd mobile application, website located at matchpadd.com, and all related services (collectively, the "Service"), operated by MatchPadd LLC ("MatchPadd," "we," "us," or "our").

By downloading the app, creating an account, or using any part of the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of a business, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

MatchPadd is a two-sided real estate discovery platform that connects home buyers and renters ("Consumers") with real estate agents and property owners ("Agents") through a swipe-based listing discovery interface.

2.1 For Consumers

Consumers may use the Service to browse property listings, save listings of interest, message listing agents directly through the app, and access mortgage payment estimates. The Consumer experience is free of charge.

2.2 For Agents and Property Owners

Licensed real estate agents and property owners ("Agents") may create accounts to list properties, manage their inventory, receive lead messages from Consumers, and access analytics. Agent access is available on a subscription basis as described in Section 6.

3.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.3 Agent Verification

Agents who create accounts represent and warrant that they hold a valid and active real estate license in all jurisdictions where they conduct business through the Service. MatchPadd reserves the right, but has no obligation, to verify Agent licensing status.

4.1 Agent-Submitted Listings

All property listings on MatchPadd are submitted by Agents or property owners. MatchPadd does not independently verify the accuracy, completeness, legality, or availability of any listing. Listing information including price, square footage, bedroom and bathroom counts, photographs, property features, and availability is provided solely by the listing Agent or owner and may be inaccurate, outdated, or incomplete.

4.2 Consumer Reliance

Consumers should independently verify all listing information before making any real estate decisions. MatchPadd strongly recommends that Consumers work with a licensed real estate professional and conduct appropriate due diligence before entering into any real estate transaction.

4.3 Agent Responsibility

Agents are solely responsible for the accuracy and legality of all listings they submit to MatchPadd. Agents represent and warrant that all listing content:

• Is accurate and not misleading
• Complies with all applicable federal, state, and local fair housing laws
• Does not violate any applicable MLS rules, regulations, or policies
• Does not infringe upon any third-party intellectual property rights
• Includes only properties for which the Agent has a valid listing agreement or the property owner has authorized the listing

4.4 Fair Housing

MatchPadd is committed to compliance with all fair housing laws, including the Fair Housing Act. Agents may not submit listing content or use the Service in any manner that discriminates based on race, color, national origin, religion, sex, familial status, disability, or any other protected characteristic.

You agree not to use the Service to:

• Violate any applicable federal, state, local, or international law or regulation
• Transmit any unsolicited or unauthorized advertising or promotional materials
• Harass, abuse, threaten, or intimidate any other user
• Impersonate any person or entity or falsely state your affiliation with any person or entity
• Submit false, misleading, or fraudulent listing information
• Use automated tools, bots, scrapers, or similar technology to access or extract data from the Service without our express written permission
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks connected to the Service
• Upload or transmit any malicious code, viruses, or other harmful components
• Collect or harvest any personally identifiable information from the Service without explicit consent
• Use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service

6.1 Agent Subscription Plans

MatchPadd offers the following subscription tiers for Agents:

• Basic (Free): Access to list up to 3 properties with standard placement
• Pro ($49/month): Up to 20 listings, priority feed placement, analytics dashboard, and direct messaging
• Premium ($299/month): Unlimited listings, top-of-feed placement, team seats, and agent branding

6.2 Billing

Subscription fees are billed monthly in advance. All payments are processed through Stripe, Inc., a third-party payment processor. By providing payment information, you authorize MatchPadd to charge your payment method on a recurring basis for the subscription fees applicable to your plan.

6.3 Free Trial

MatchPadd may offer free trial periods for paid subscription plans. At the end of a free trial, your subscription will automatically convert to the applicable paid plan unless you cancel before the trial period ends.

6.4 Cancellations and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. MatchPadd does not provide refunds for any paid subscription period that has already begun, except as required by applicable law.

6.5 Price Changes

MatchPadd reserves the right to change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes your agreement to the new pricing.

7.1 MatchPadd's IP

The Service, including its design, features, functionality, software, and all content created by MatchPadd, is owned by MatchPadd and protected by copyright, trademark, and other intellectual property laws. The MatchPadd name, logo, and all related marks are trademarks of MatchPadd LLC. You may not use any MatchPadd trademark without our prior written consent.

7.2 User Content

You retain ownership of all content you submit to the Service ("User Content"), including property listings, photographs, descriptions, and messages. By submitting User Content, you grant MatchPadd a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and improving the Service.

7.3 Feedback

If you provide MatchPadd with any feedback, suggestions, or ideas about the Service, you grant MatchPadd the right to use that feedback without restriction or compensation to you.

The Service integrates with third-party services including Stripe (payment processing), Mapbox (mapping and location services), Supabase (data storage and authentication), Sentry (error monitoring), and PostHog (product analytics). Your use of the Service is subject to the terms and privacy policies of these third-party providers. MatchPadd is not responsible for the practices or content of any third-party service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MATCHPADD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MATCHPADD DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTING INFORMATION OR OTHER CONTENT ON THE SERVICE.

MATCHPADD IS NOT A REAL ESTATE BROKER OR AGENT AND DOES NOT PROVIDE REAL ESTATE ADVICE. NOTHING IN THE SERVICE CONSTITUTES LEGAL, FINANCIAL, OR REAL ESTATE ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATCHPADD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL MATCHPADD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MATCHPADD IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless MatchPadd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.

MatchPadd reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms.

You may terminate your account at any time by contacting us at support@matchpadd.com. Upon termination, your right to use the Service will immediately cease.

Sections 7, 9, 10, 11, and 13 of these Terms will survive any termination.

These Terms shall be governed by and construed in accordance with the laws of the State of [INSERT HOME STATE], without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to informal negotiation for 30 days. If the dispute is not resolved through informal negotiation, it shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

MatchPadd reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
